Talent Plus, Inc.® Privacy Statement

Introduction
Talent Plus, Inc. is committed to protecting the privacy and confidentiality of personal data. Talent Plus has made a decision to voluntarily participate in the safe harbor framework available to U.S. organizations under the European Commission’s directive on data protection. This privacy policy explains how Talent Plus collects and protects data from its clients in accordance with the requirements of the safe harbor.

Privacy Generally
Talent Plus provides consulting services including data consolidation and analysis for its clients throughout the world. Talent Plus enters into agreements with its clients and provides secure web based access to its TalentBank® application to facilitate data collection and analysis based on question and answer scenarios. The users of the TalentBank® application conduct a series of interviews to third party participants to determine their most pervasive characteristics and align them with current and future employment opportunities. The interviewees responses may or may not be captured holistically by the interviewer, however, a coded score is ultimately assigned to each of the roughly 70 questions. The data entry process is manual and may include questions regarding skills, job experiences, unique employee ids, home and work contact information, current employer information, and reasons for considering new employment opportunities.

Collecting Your Personal Information

The users of the Talent Plus technology will ask interviewees for specific personal information to uniquely identify the candidate and enables the Talent Plus client to contact the interviewee in the future. Additionally Talent Plus leverages its corporate web site to capture basic prospect and client information. Generally, this information is captured from a new perspective client interested in joining our mailing list or requesting information about our services. Personal information collected by Talent Plus often is limited to e-mail address, First Name, Last Name and Phone Number, but may include other information when needed to provide a service you requested.

Control of Your Personal Information
Talent Plus will not share any client, interviewee, or prospects information with any third parties without written permission. Talent Plus may send out periodic e-mails to registered users informing them of news and services. Receivers of this information may choose to unsubscribe to these mailings by contacting us.

Security of Your Personal Information
Talent Plus strictly protects the security of your personal information and honors your choices for its intended use. We carefully protect your data from loss, misuse, unauthorized access or disclosure, alteration, or destruction.

Your personal information is never shared outside the company without your permission. Inside the company, data is stored in password-controlled servers with limited access. Talent Plus will disclose your personal information, without notice, only if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on Talent Plus or the site; (b) protect and defend the rights or property of Talent Plus, and, (c) act in urgent circumstances to protect the personal safety of users of Talent Plus, its Web sites, or the public.

Indirectly Captured Information
Talent Plus indirectly collects information pertaining to use of its Web sites. This type of indirectly collected information is gathered through various means, such as an IP address, which is a number that is automatically assigned to your computer whenever you are surfing the Web.

Other types of indirectly collected information are stored in "cookies." Cookies are small files of electronic information that a Web site can transfer to a visitor's hard drive to help that visitor while on the site. The Talent Plus web sites use cookies simply to store a user code so that the user does not have to re-enter their information when rejoining the site. The use of cookies is standard on the Internet. Although most Web browsers automatically accept cookies, the decision of whether to accept them is yours. A browser can usually be adjusted to prevent the reception of cookies, or to provide notification whenever a cookie is sent to you. Even without accepting a cookie, users can still access most of the features offered by Talent Plus Web sites.

Access to Personal Information
An individual’s information that is collected by Talent Plus can be requested by the individual by contacting us pending a user internal verification process.

Dispute Resolution
In the event of any controversy or claim arising out of or relating to this Safe Harbor Privacy Policy, the parties hereto shall consult and negotiate with each other and, recognizing their mutual interests, attempt to reach a resolution satisfactory to both parties. If they do not reach a settlement within a period of 60 days, then either party may, by notice to the other party and to the International Centre for Dispute Resolution, demand mediation under the International Mediation Rules of the International Centre for Dispute Resolution. If settlement is not reached within 60 days following service of a written demand for mediation, any unresolved claim or controversy arising out of or relating to this Safe Harbor Privacy Policy shall be settled by arbitration in accordance with the UNCITRAL Arbitration Rules in effect on the date the controversy or claim arose. The arbitration proceeding shall be administered by the American Arbitration Association in accordance with its “Procedures for Cases Under the UNCITRAL Arbitration Rules.” Further, to the extent applicable, the arbitration proceeding shall be governed by Title 9 of the United States Code (the United States Arbitration Act), and by the laws of the State of Nebraska, United States of America. The arbitration proceedings shall be conducted in the City of Lincoln, Lancaster County, United States of America. The language of the arbitration shall be English. The arbitrator(s) appointed to hear and decide disputes under this provision shall be citizen(s) of the United States of America.
